These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Eltrove ("Eltrove," "we," "our," or "us") governing your access to and use of the website located at https://eltrove.com and all related software, infrastructure, applications, APIs, and services (collectively, the "Platform" or "Service").

BY ACCESSING, REGISTERING FOR, OR USING THE PLATFORM IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND IRREVOCABLY AGREED TO THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE ALL USE OF THE PLATFORM. USE OF THE PLATFORM BY ANY PERSON UNDER THE AGE OF 18 IS STRICTLY PROHIBITED.

1. Service Description

Eltrove is a SaaS algorithmic trading platform that enables users to connect brokerage accounts via API credentials to automate, manage, monitor, and analyze trading strategies. Eltrove does not hold, custody, or manage user funds. All orders are placed directly through your brokerage account via API keys you provide. Eltrove is a software technology provider only and is not registered with the United States Securities and Exchange Commission as a broker-dealer or registered investment adviser, is not a FINRA or SIPC member, and does not provide discretionary investment management services.

2. No Investment Advice; Risk Disclosure

NOTHING ON THE PLATFORM CONSTITUTES INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, LEGAL ADVICE, TAX ADVICE, OR ANY OTHER FORM OF PROFESSIONAL ADVICE. NO PLATFORM OUTPUT, SIGNAL, MODEL, FORECAST, METRIC, AUTOMATION, OR FUNCTIONALITY SHALL CONSTITUTE A RECOMMENDATION TO BUY, SELL, OR HOLD ANY SECURITY OR FINANCIAL INSTRUMENT, A SOLICITATION OF ANY TRANSACTION, OR AN ENDORSEMENT OF ANY INVESTMENT STRATEGY.

Trading in securities and financial instruments involves substantial risk of loss, including the potential loss of all capital deployed. Algorithmic and automated trading systems are inherently speculative and subject to risks including software defects, infrastructure failures, brokerage outages, market volatility, regulatory changes, cybersecurity incidents, delayed or inaccurate data, slippage, and force majeure events. Past performance of any model, strategy, or backtest does not guarantee future results.

YOU ARE SOLELY AND EXCLUSIVELY RESPONSIBLE FOR ALL TRADING DECISIONS, INVESTMENT ACTIVITIES, BROKERAGE ACCOUNT ACTIVITY, RISK MANAGEMENT, TAX OBLIGATIONS, REGULATORY COMPLIANCE, AND ALL FINANCIAL OUTCOMES ARISING FROM YOUR USE OF THE PLATFORM.

3. Account Registration and Security

You must provide accurate and complete information when creating an account. You are solely responsible for maintaining the confidentiality and security of your account credentials and brokerage API keys. You agree to notify us immediately at [email protected] of any unauthorized access to or use of your account. Eltrove encrypts brokerage API credentials at rest using AES-256 encryption and does not display them after initial entry.

You are solely responsible for all activity that occurs under your account. If you believe your credentials or API keys have been compromised, you must immediately revoke them from your brokerage provider. Eltrove shall not be liable for any loss or damage arising from your failure to maintain account security.

4. Subscription, Billing, and Cancellation

Access to the Platform requires a paid subscription billed monthly via Stripe. Your subscription automatically renews on a monthly basis unless cancelled prior to the renewal date. You authorize Eltrove to charge the payment method on file for all applicable fees.

We offer a thirty (30) day money-back guarantee on your first charge. Refund requests after thirty (30) days are evaluated on a case-by-case basis at Eltrove's sole discretion. Cancellation halts future billing; existing open positions in your brokerage account are left unchanged. Eltrove does not liquidate positions without your explicit action.

Eltrove reserves the right to modify subscription pricing upon thirty (30) days' written notice to subscribers. Continued use of the Platform after a price change takes effect constitutes acceptance of the new pricing.

5. Intellectual Property

The Platform, including all software, algorithms, models, forecasting systems, source code, user interfaces, designs, text, graphics, logos, and all other content and technology comprising or incorporated into the Platform, is and shall remain the exclusive intellectual property of Eltrove and its licensors, protected by applicable copyright, patent, trade secret, trademark, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your personal, non-commercial trading purposes in accordance with these Terms. No other rights are granted. You shall not reproduce, distribute, modify, create derivative works of, publicly display, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Platform.

Any feedback, suggestions, or ideas you provide regarding the Platform may be used by Eltrove without restriction, compensation, or attribution to you.

6. Prohibited Use

You agree not to use the Platform to:

Violation of any prohibited use provision may result in immediate suspension or termination of your account at Eltrove's sole discretion, without refund.

7. Suspension and Termination

Eltrove reserves the right, at its sole discretion, to suspend, restrict, or permanently terminate your access to the Platform at any time, with or without notice, for any reason including but not limited to: violation of these Terms; fraudulent, abusive, or illegal activity; non-payment; regulatory requirements; or any conduct Eltrove determines to be harmful to the Platform, other users, or third parties.

You may terminate your account at any time by cancelling your subscription and contacting [email protected]. Upon termination, your license to use the Platform immediately revokes. Sections 2, 5, 8, 9, 10, 11, and 12 shall survive termination of these Terms.

8. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES, SOFTWARE, DATA, SIGNALS, ANALYTICS, AUTOMATIONS, EXECUTIONS, AND FUNCTIONALITY ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. ELTROVE EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR COMPLETENESS OF DATA, CONTINUOUS AVAILABILITY, ERROR-FREE OPERATION, SECURITY OF THIRD-PARTY SERVICES, AND SUITABILITY FOR FINANCIAL OR TRADING PURPOSES.

ELTROVE DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, THAT RESULTS OBTAINED WILL BE ACCURATE OR RELIABLE, THAT ERRORS WILL BE CORRECTED, OR THAT THE PLATFORM WILL BE AVAILABLE AT ANY PARTICULAR TIME.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ELTROVE AND ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, VENDORS, SUBPROCESSORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ECONOMIC DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO: TRADING LOSSES; LOST PROFITS; LOSS OF DATA; BROKERAGE EXECUTION FAILURES; MISSED TRADING OPPORTUNITIES; UNAUTHORIZED ACCOUNT ACCESS; SYSTEM DOWNTIME OR INTERRUPTION; DELAYED OR INACCURATE EXECUTIONS; DATA INACCURACIES; RELIANCE ON PLATFORM FUNCTIONALITY; THIRD-PARTY ACTIONS OR OMISSIONS; REGULATORY ACTIONS; OR FINANCIAL LOSSES OF ANY KIND — EVEN IF ELTROVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT LIABILITY CANNOT BE FULLY EXCLUDED UNDER APPLICABLE LAW, ELTROVE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO ELTROVE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Eltrove and its affiliates, owners, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your trading activity or brokerage account activity; (e) your violation of any third-party rights; or (f) any actual or alleged fraud, misrepresentation, or willful misconduct by you.

11. Dispute Resolution; Arbitration; Class Action Waiver

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

MANDATORY ARBITRATION: Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

CLASS ACTION WAIVER: YOU AND ELTROVE EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY.

Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm pending arbitration.

12. Modifications to Terms

Eltrove reserves the right to modify these Terms at any time at its sole discretion. Material changes will be communicated to registered users via email or prominent notice on the Platform no less than fourteen (14) days prior to the effective date of such changes. Continued use of the Platform after the effective date constitutes irrevocable acceptance of the revised Terms. If you do not agree to any modification, you must cease use of the Platform immediately.

13. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Eltrove regarding the Platform and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of Eltrove's right to enforce such provision in the future.

Assignment. You may not assign or transfer any rights or obligations under these Terms without Eltrove's prior written consent. Eltrove may freely assign these Terms.

Force Majeure. Eltrove shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, government actions, cyberattacks, exchange outages, or internet infrastructure failures.
