These Terms of Service (these "Terms") constitute a legally binding agreement between you ("you" or "your") and Eltrove ("Eltrove," "we," "us," or "our") governing your access to and use of the Eltrove mobile application for Apple iOS (the "App"), the website located at https://eltrove.com (the "Website"), and all related services, features, and content that we make available through the App or the Website (together with the App and the Website, the "Service").
BY DOWNLOADING THE APP, CREATING AN ACCOUNT, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS AND BY OUR PRIVACY POLICY. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SERVICE. SECTION 18 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION AND JURY TRIAL WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
For the purposes of these Terms: "Account" means the account created when you sign in to the Service; "Content" means all information, text, data, Forecasts, Disclosure Data, graphics, and other materials made available through the Service; "Disclosure Data" means the information made available through the Insiders feature described in Section 3; "Eltrove Plus" means the paid, auto-renewing subscription described in Section 8; "Forecast" means an output of the Eltrove Engine described in Section 3; and "Privacy Policy" means the Eltrove Privacy Policy available at https://eltrove.com/privacy, as amended from time to time.
The Service is offered only to individuals located in the United States and Canada. You may access or use the Service only if (a) you are at least eighteen (18) years of age; (b) you have the legal capacity to enter into a binding contract; (c) you are not barred from using the Service under applicable law; and (d) you are not located in a country subject to a United States government embargo, and are not listed on any United States government list of prohibited or restricted parties. USE OF THE SERVICE BY ANY PERSON UNDER THE AGE OF 18 IS STRICTLY PROHIBITED.
The Service is a market-information service consisting principally of the following features:
Eltrove does not execute or route trades, does not connect to or access brokerage accounts, does not hold or custody funds or securities, and does not provide individualized investment advice. We may add, modify, suspend, or discontinue any feature of the Service at any time.
THE SERVICE AND ALL CONTENT ARE PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY. NOTHING IN THE SERVICE CONSTITUTES INVESTMENT, FINANCIAL, TRADING, LEGAL, TAX, OR ACCOUNTING ADVICE, OR A RECOMMENDATION, OFFER, OR SOLICITATION TO BUY, SELL, OR HOLD ANY SECURITY OR OTHER FINANCIAL INSTRUMENT OR TO ADOPT ANY INVESTMENT STRATEGY. CONTENT IS NOT TAILORED TO THE INVESTMENT NEEDS, OBJECTIVES, OR CIRCUMSTANCES OF ANY PARTICULAR PERSON.
Eltrove is not registered as an investment adviser with the United States Securities and Exchange Commission or any state securities authority, is not registered as a broker-dealer, is not a member of FINRA or SIPC, and is not registered with any Canadian securities regulatory authority as an adviser or dealer. No fiduciary, advisory, or brokerage relationship is created between you and Eltrove by your use of the Service. Eltrove does not exercise discretion over any account and does not manage assets.
Investing in securities involves risk, including the possible loss of principal. YOU ARE SOLELY RESPONSIBLE FOR YOUR INVESTMENT DECISIONS AND THEIR CONSEQUENCES, AND YOU SHOULD CONSULT A QUALIFIED, LICENSED PROFESSIONAL BEFORE MAKING ANY INVESTMENT DECISION.
Forecasts are probabilistic, model-generated estimates. They are not predictions of certainty, guarantees of future performance, or statements of fact. Forecasts may be inaccurate, incomplete, or out of date, and may be wrong. Forecasts are generated by third-party large language models that may produce errors, including statements that are unsupported by the underlying data. A confidence level reflects the model's assessment and is not a measure of the probability that any outcome will occur. Past performance of Forecasts, including as reported in the public Scorecard, does not indicate or guarantee future results.
Disclosure Data is reproduced from public filings made with government and regulatory bodies. Such filings are made subject to statutory filing deadlines and are therefore published after the underlying transactions occur. Disclosure Data may contain errors, omissions, or ambiguities originating in the source filings, and may contain errors or delays introduced in collection, extraction, or display, including through automated reading of scanned filings. Eltrove does not verify the accuracy of any filing. Alerts are delivered on a best-efforts basis, may be delayed or not delivered, and are not a substitute for consulting the official source records. Disclosure Data concerns transactions reported by third parties and does not imply any endorsement of, or allegation regarding, any individual or company.
Public sign-in to the Service is available only through Sign in with Apple and Sign in with Google. Your use of those services is governed by the terms of Apple Inc. and Google LLC, respectively. If you use Sign in with Apple and elect to hide your email address, your Account will be associated with the private relay email address that Apple provides. Any email-and-password sign-in method is provided solely for demonstration access by Apple's App Review team and is not offered to the public.
You are responsible for maintaining the security of the Apple or Google account and the device you use to access the Service, and for all activity that occurs under your Account. You agree to notify us promptly at [email protected] of any unauthorized use of your Account. You may not share, transfer, or sell your Account.
8.1 Free Tier. Without a subscription, you may request one (1) Forecast per day, browse Disclosure Data, and use such other features as we designate as free from time to time.
8.2 Eltrove Plus. Eltrove Plus is a paid subscription that provides the features identified as Eltrove Plus features in the App at the time of purchase, which currently include unlimited Forecasts and Alerts for the individuals and companies you follow. Eltrove Plus is offered on monthly and annual terms at the prices, in the currency, and inclusive or exclusive of applicable taxes, as displayed at purchase.
8.3 Purchase Through Apple. Eltrove Plus is purchased in the App through Apple's App Store in-app purchase system. Payment is charged to the payment method associated with your Apple ID at confirmation of purchase. All payment processing, billing, renewal, cancellation, and refunds for App Store purchases are handled by Apple and are governed by Apple's terms and conditions, including the Apple Media Services Terms and Conditions. Your subscription entitlement is managed by our subscription-management provider, RevenueCat, Inc., and is associated with your Eltrove Account rather than with the Apple ID used for payment.
8.4 Automatic Renewal. ELTROVE PLUS AUTOMATICALLY RENEWS FOR SUCCESSIVE PERIODS EQUAL IN LENGTH TO THE INITIAL PERIOD (MONTHLY OR ANNUAL) UNLESS YOU CANCEL AT LEAST TWENTY-FOUR (24) HOURS BEFORE THE END OF THE THEN-CURRENT PERIOD. Your Apple ID will be charged for renewal within the twenty-four (24) hours preceding the end of the then-current period, at the then-current price.
8.5 Cancellation. You may cancel at any time in your Apple ID subscription settings on your device. Cancellation takes effect at the end of the then-current subscription period, and you will retain access to Eltrove Plus until that time. Deleting the App or your Account does not cancel your subscription.
8.6 Refunds. Eltrove does not process refunds for App Store purchases. Any request for a refund must be submitted to Apple and is subject to Apple's policies. Except as required by applicable law or granted by Apple, fees are non-refundable and partial periods are not prorated.
8.7 Billing Grace Period. If Apple is unable to collect a renewal payment, Apple may provide a billing grace period during which your access to Eltrove Plus may continue while Apple attempts to collect payment. If payment is not collected, your access to Eltrove Plus will end.
8.8 Price Changes. We may change the price of Eltrove Plus from time to time. Price changes will be communicated in advance as required by Apple and applicable law and, where Apple or applicable law requires, will not apply to you unless you consent. A price change does not affect a subscription period for which you have already paid.
8.9 Legacy Credits. Certain Accounts may hold a balance of prepaid credits, including credits purchased as consumable in-app purchases. Credits may be redeemed for Forecasts after any free daily allowance is exhausted. Credits have no cash value, are not transferable, and, except as required by applicable law or granted through Apple's refund process, are non-refundable. If Apple refunds or reverses a purchase of credits, the corresponding credits may be removed from your balance.
8.10 Website Purchases. If you purchased a subscription or credits on the Website rather than through the App Store, that purchase was processed by Stripe, Inc., and the subscription may be managed or cancelled through the billing portal available from your Account on the Website. Sections 8.4 through 8.9 apply to such purchases with the necessary changes, except that references to Apple shall be read as references to Eltrove and Stripe, and refund requests for such purchases should be directed to [email protected].

The Service and all Content (other than public-domain material and third-party content), including all software, models, methodologies, prompts, designs, text, graphics, logos, and the names "Eltrove" and "Eltrove Engine," are owned by Eltrove or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. Except for the limited license granted in this Section, no right, title, or interest in the Service or Content is transferred to you.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and Content for your personal, non-commercial purposes. The underlying public filings from which Disclosure Data is derived are not owned by Eltrove; this Section applies to our selection, arrangement, presentation, and enrichment of that information.
If you submit feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation or compensation to you.
The Service relies on and may link to services, content, and websites operated by third parties, including Apple, Google, RevenueCat, providers of AI models, providers of market data and news, and government sources of public filings. Links to news and other third-party content are provided for convenience only. We do not control and are not responsible for third-party services or content, and your use of any third-party service is subject to that third party's terms and policies.
We may suspend, restrict, or terminate your access to all or part of the Service at any time, with or without notice, if we reasonably believe that you have violated these Terms, that your use poses a risk to the Service, to other users, or to third parties, or that suspension or termination is required by law. Where we terminate your Account for reasons other than your breach of these Terms, and you hold an active Eltrove Plus subscription, you may request a refund from Apple in accordance with Apple's policies.
You may stop using the Service at any time, and you may delete your Account in the App under the You tab. Deleting your Account deletes your Account data as described in the Privacy Policy, and any unused credits are forfeited. Deleting your Account does not cancel a subscription billed by Apple; you must cancel it in your Apple ID subscription settings.
Upon any termination, the license granted in Section 10 terminates. Sections 4, 5, 6, 10, 13 through 16, and 18 through 21 survive any termination or expiration of these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT, INCLUDING FORECASTS, DISCLOSURE DATA, AND ALERTS, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. ELTROVE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES AS TO THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY CONTENT.
WITHOUT LIMITING THE FOREGOING, ELTROVE DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT ANY FORECAST WILL BE ACCURATE, THAT DISCLOSURE DATA WILL BE COMPLETE OR CURRENT, THAT ALERTS WILL BE DELIVERED, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ELTROVE OR ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, INVESTMENT OR TRADING LOSSES, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, ANY CONTENT, ANY RELIANCE ON A FORECAST, DISCLOSURE DATA, OR ALERT, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELTROVE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU FOR THE SERVICE, WHETHER TO ELTROVE OR TO APPLE, IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (B) FIFTY UNITED STATES DOLLARS (US$50). THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Eltrove and its affiliates, owners, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any investment or trading decision you make; or (e) your violation of any right of a third party.
This Section applies if you obtained the App from the Apple App Store, and prevails over any inconsistent provision of these Terms with respect to the App.
16.1 Acknowledgement. These Terms are concluded between you and Eltrove only, and not with Apple Inc. ("Apple"). Eltrove, not Apple, is solely responsible for the App and its content.
16.2 Scope of License. The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing, where available.
16.3 Maintenance and Support. Eltrove is solely responsible for providing any maintenance and support services with respect to the App, as specified in these Terms or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
16.4 Warranty. Eltrove is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Eltrove's sole responsibility, to the extent not effectively disclaimed.
16.5 Product Claims. Eltrove, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and use of the App, including (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
16.6 Intellectual Property Rights. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Eltrove, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
16.7 Legal Compliance. You represent and warrant that (a) you are not located in a country that is subject to a United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country; and (b) you are not listed on any United States government list of prohibited or restricted parties.
16.8 Developer Contact. Questions, complaints, or claims with respect to the App should be directed to Eltrove at [email protected].
16.9 Third-Party Terms. You must comply with applicable third-party terms of agreement when using the App, including the terms of your wireless data service provider.
16.10 Third-Party Beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
We may amend these Terms from time to time. When we do, we will revise the "Last Revised" date above. We will provide notice of material changes through the Service or by email no less than fourteen (14) days before they take effect. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of them. If you do not agree to the revised Terms, you must stop using the Service and may delete your Account and cancel any subscription as described in Sections 8 and 12.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
MANDATORY ARBITRATION: Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
CLASS ACTION WAIVER: YOU AND ELTROVE EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY.
Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm pending arbitration.
For the purposes of this Section 18, "the Platform" means the Service.
Nothing in these Terms excludes, restricts, or modifies any right or remedy that you have under the consumer protection laws of your state, province, or territory of residence where such right or remedy cannot lawfully be excluded, restricted, or modified by agreement. To the extent any provision of these Terms, including Section 18, is unenforceable against you under such laws, that provision shall apply only to the extent permitted by those laws.
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Eltrove regarding the Service and supersede all prior agreements and understandings regarding its subject matter.
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision or any other provision.
Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
Force Majeure. We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, failures of third-party services or data sources, cyberattacks, and failures of internet or telecommunications infrastructure.
Notices. We may provide notices to you through the Service or to the email address associated with your Account. You may provide notices to us at the email address in Section 21.
Headings. Section headings are for convenience only and do not affect the interpretation of these Terms. The word "including" means "including without limitation."
